On June 26, 2024, Clover Health Investments, Corp. (the “Company”) issued a press release announcing that on June 26, 2024 it received written notice from The Nasdaq Stock Market (“Nasdaq”) notifying the Company that it has regained compliance with Nasdaq’s minimum stock price requirement.

A copy of the press release announcing the written notice described herein is filed as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.

Clover Health Regains Compliance with NASDAQ Minimum Bid Price Requirement

FRANKLIN, Tenn. – June 26, 2024 – Clover Health Investments, Corp. (NASDAQ: CLOV) (“Clover,” “Clover Health” or the “Company”), a physician enablement technology company committed to bringing access to great healthcare to everyone on Medicare, today announced that it has received formal notice from The Nasdaq Stock Market, LLC ("Nasdaq") stating that the Company has regained compliance with the minimum bid price requirement set forth in Nasdaq Listing Rule 5450(a)(1).

As previously disclosed, the Company received a written notice from Nasdaq on April 2, 2024, notifying the Company that it had failed to meet the $1.00 per share minimum bid price requirement as part of the Nasdaq Global Select Market’s listing standards.

To regain compliance with the Listing Rule, the Company’s Class A Common Stock was required to maintain a minimum closing bid price of $1.00 or more for at least 10 consecutive trading days, which was achieved on June 25, 2024. Nasdaq has stated that this matter is now closed.
